Willkommen bei Von Roll

Zurich, May 28, 2004

After the decision of the Annual Meeting of Von Roll Holding Ltd on May 26th 2004 not to pay dividend for the fiscal year 2003, all bearer shares of the Von Roll Holding Ltd with a face value of CHF 0.10 will be combined.

Trading of the shares which has been issued in 2003 (Valor No 1.634.447) will be stopped on May 28th 2004 and will be continued in the main segment of the SWX Swiss Exchange as bearer shares of Von Roll Holidng Ltd with the Valor No 324.535. Under this share number there will be then 110’725’089 bearer shares listed totally.

The depot bank in Switzerland will automatically perform the transfer, there is no action required in this matter for the shareholders.
