199th Annual Gene­ral Mee­ting held — all pro­po­sals of the Board of Direc­tors approved

Brei­ten­bach, May 5, 2022

As plan­ned, the 199th ordi­nary Gene­ral Mee­ting of Von Roll Hol­ding AG took place on May 4, 2022, at 10.30 a.m. at the head­quar­ters in Brei­ten­bach (Switz­er­land) without phy­si­cal pre­sence of the share­hol­ders due to the Coro­na­vi­rus Pan­de­mic. All pro­po­sals pre­sen­ted by the Board of Direc­tors were appro­ved by a large majo­rity of the shareholders.

The annual report, finan­cial state­ments and con­so­li­da­ted state­ments as well as the actions of the Board of Direc­tors and Group Manage­ment were appro­ved for the finan­cial year 2021.

Dr. Peter Kalant­zis, Gerd Amt­stät­ter, Guido Egli, August Fran­çois von Finck and Dr. Chris­tian Hen­ner­kes were elec­ted to ano­t­her sta­tu­tory one-year term as Mem­bers of the Board of Direc­tors. Mr. Gerd Pes­kes did not stand for re-elec­tion and step­ped down from the Board of Direc­tors. In his place, Mr. Ger­hard Bruck­meier was newly elec­ted to the Board of Directors.
Dr. Peter Kalant­zis was con­fir­med as Chair­man of the Board of Directors.

All can­di­da­tes for the Remu­ne­ra­tion Com­mit­tee, Gerd Amt­stät­ter, Guido Egli and August Fran­çois von Finck, were reelec­ted. The pro­po­sal put for­ward by the Board of Direc­tors to reelect Deloitte AG as sta­tu­tory audi­tors for the fis­cal year 2022 was con­fir­med.  Both the fixed com­pen­sa­tion for the Board of Direc­tors and the Exe­cu­tive Board as well as the varia­ble com­pen­sa­tion for the Exe­cu­tive Board for the finan­cial year 2021 were approved.
